About the 6-Month Founder Pricing

Overview

This page sets out the conditions under which the "6-Month Founder Pricing" (the "Founder Price") for the Pro plan of LiveClip (the "Service") applies. This page is supplemental to the Terms of Service. In the event of any conflict between this page and the Terms of Service, this page shall prevail with respect to the Founder Price. By accepting the Founder Price, you agree to the conditions set out on this page.

1. Eligibility and Price

The Founder Price applies only to monthly subscriptions to the Pro plan (the "Subscription") for users who newly register before the registration cap is reached (the cap is set at 50 users by default; we may change the cap, but the Founder Price will not be applied beyond the cap that was in effect at the time of your registration). The Founder Price is JPY 980 per month (tax included). The regular price of the Pro plan is JPY 1,500 per month (tax included).

2. Application Period (Meaning of "6 Months")

"6 months" on this page refers to the six consecutive billing months counted from the date you first start your Pro monthly subscription (the "Pro start date"). During this period, the Founder Price is automatically applied to your monthly fee, and after the sixth billing month elapses, the regular price set out in Section 3 will automatically apply. Technically, the Founder Price is implemented by attaching a 6-month limited discount coupon (provided by Stripe, our payment processor) to your Subscription at Checkout; once the 6-month period elapses, Stripe automatically begins billing at the regular price.

3. Transition to the Regular Price After 6 Months

Upon the expiration of the 6-month application period, your Subscription will automatically transition to the regular price of the Pro plan (or whatever price is then displayed in the Service). No action is required on your part. If you do not wish to accept the regular price, you may cancel the Subscription at any time during the application period or immediately after the transition.

4. Events That End the Founder Price Early

Although the Founder Price is intended to apply for the full 6-month period, your eligibility for the Founder Price will terminate early — and any unexpired portion of the period and any right to re-apply the Founder Price will be lost — upon any of the following: (1) cancellation of the Subscription by you; (2) termination of the Subscription due to payment failure, expired card details, or other payment issues (including after any grace period provided by our payment processor); (3) deletion of the account or withdrawal from the Service; (4) termination of the contract by us due to a violation of the Terms of Service; (5) change away from the Pro plan; or (6) change of the contract type, such as a switch from monthly to annual billing.

5. Re-subscribing After Termination or Expiration

After the Founder Price has ended (whether early under the previous section or upon expiration of the 6-month period), any subsequent re-subscription to the Pro plan will be at the regular price displayed in the Service at that time (or any other price determined by us at that time). The Founder Price will not be reinstated.

6. Possibility of Price Changes

We will not increase the Founder Price as a general rule. However, we may revise the Founder Price or the regular price under any of the following circumstances: (1) changes required by consumption tax rate changes or other applicable law changes; (2) material changes in payment processor fees; (3) fundamental changes to the Service that necessitate a price revision; or (4) other compelling circumstances that make it impractical to continue at the current price. If we revise prices, we will notify you via in-Service notification or email at least 30 days before the change takes effect. If you continue your Subscription after the effective date, you are deemed to have accepted the revised price.

7. Service Discontinuation

If we discontinue the Service in whole or in part, the Founder Price will also terminate. We will use reasonable efforts to notify you at least 30 days in advance via in-Service notification or email; however, this advance notice may not be possible in cases of legal requirements, force majeure, or other urgent circumstances. We will reasonably determine the appropriate handling of refunds for any prepaid but unused portion.

8. Changes to This Page

We may amend the contents of this page. For material changes, we will notify you via in-Service notification or email at least 30 days before the change takes effect. If you continue your Subscription after the effective date, you are deemed to have accepted the amended contents.

9. Disclaimer

The Founder Price is a marketing benefit offered at our discretion and is not a vested right that you may unconditionally enforce against us. Except in cases of our willful misconduct or gross negligence, we shall not be liable for any damages arising in connection with the application, termination, transition to the regular price, revision, or any other matter related to the Founder Price. Our maximum liability is subject to Section 8 of the Terms of Service.

10. Governing Law and Jurisdiction

This page is governed by the laws of Japan. Any disputes related to this page shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance, in accordance with Section 10 of the Terms of Service.
